Professional Platform Terms of Use

This Professional Platform Terms of Use (“Agreement”) is entered into by and between WIM Careers LLC, a California limited liability company (“WIM,” “we,” “us,” or “our”), and the individual creating a professional account on the WIM Careers platform (“Professional,” “you,” or “your”).

By creating a professional account, accessing the WIM Careers platform at wimcareers.com (the “Platform”), or using any services provided through the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.

This Agreement supplements and incorporates by reference the WIM Careers Terms of Service and Privacy Policy. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall control with respect to professional-specific provisions.

1. Professional Account Obligations

1.1 Accurate Information

You agree to provide accurate, truthful, current, and complete information in your professional profile and throughout your use of the Platform. This obligation applies to all information you submit, including but not limited to:

• Professional credentials, licenses, and certifications (including license numbers, issuing authorities, and expiration dates).
• Educational qualifications and degrees.
• Work experience, employment history, and job titles.
• Project contributions, roles, and descriptions.
• Technical skills, software proficiencies, and specializations.
• Salary history, compensation expectations, and employment preferences.
• Portfolio materials, including project images and descriptions.
• Peer endorsements and references.

1.2 Ongoing Accuracy

You agree to promptly update your profile information whenever there are material changes, including but not limited to: new or expired credentials, changes in employment status, updates to contact information, and changes in career preferences or availability.

1.3 Consequences of Misrepresentation

Providing false, misleading, or materially incomplete information may result in:

• Immediate suspension or termination of your account.
• Removal of your profile from employer search results and matching.
• Forfeiture of any WIM Score, endorsements, or accumulated platform data.
• Notification to employers who have interacted with your profile, where WIM determines such notification is appropriate.
• Legal action for fraud or misrepresentation, if applicable.

2. Platform Career Intelligence Services

2.1 WIM Score

Your WIM Score (ranging from 300 to 850) is a proprietary career intelligence rating calculated by WIM based on multiple factors, including profile completeness, credential portfolio strength, project history depth, peer endorsements, skill alignment, platform engagement, and career progression patterns. The WIM Score is provided for informational purposes only and does not constitute a guarantee of employment, salary, or professional standing.

2.2 Career DNA Analysis

Your Career DNA is a multidimensional profile generated by WIM that analyzes your career trajectory, strengths, preferences, and alignment with opportunities. Career DNA analysis is powered by artificial intelligence and is provided as a career guidance tool. You acknowledge that AI-generated analysis may not fully capture the nuances of your professional experience and should be used as one input among many in your career decision-making.

2.3 AI Career Coach

The AI Career Coach provides personalized career guidance and recommendations based on your profile, Career DNA, market data, and AI analysis. The AI Career Coach is not a substitute for professional career counseling, legal advice, or human mentorship. WIM is not responsible for decisions you make based on AI Career Coach recommendations.

3. Platform Exclusivity and Reporting

3.1 Good Faith Engagement

When you engage with employers through the Platform (including receiving messages, responding to job alignments, submitting applications, or participating in any employer-initiated contact), you agree to conduct all communications and negotiations in good faith and through the Platform’s communication tools to the extent reasonably practicable.

3.2 Reporting Obligation

If you receive an offer of employment, consulting engagement, or any form of paid work from an employer that you initially connected with through the WIM Platform, you agree to notify WIM within ten (10) business days by reporting the offer through the Platform or by emailing [email protected]. This reporting obligation applies regardless of whether the offer was made through the Platform, through an external channel, or through a third-party intermediary.

3.3 Cooperation with Placement Verification

You agree to cooperate with WIM’s reasonable requests to verify placements and employer-candidate connections for the purpose of Placement Fee administration. This cooperation may include confirming employment start dates, the identity of the hiring employer, and the general nature of the engagement. WIM will not request specific salary or compensation details from Professionals.

4. Credential Wallet and Verification

4.1 Credential Storage

The Platform provides a Credential Wallet feature that allows you to store, organize, and display your professional credentials, licenses, certifications, and educational qualifications. You are solely responsible for the accuracy and currency of all credential information you enter.

4.2 Verification Status

WIM may, at its discretion, verify certain credentials through public databases, issuing authorities, or third-party verification services. Verified credentials will be marked accordingly on your profile. Unverified credentials are presented as self-reported. WIM does not guarantee the accuracy of any credential, whether verified or unverified, and employers are advised to conduct their own verification.

4.3 Credential Misrepresentation

Falsifying, fabricating, or materially misrepresenting any credential, license, certification, degree, or professional qualification is a material breach of this Agreement and will result in immediate account termination and permanent ban from the Platform.

5. Peer Endorsements

5.1 Endorsement Integrity

The Platform’s peer endorsement system is designed to provide authentic, meaningful validation of professional skills and work quality. You agree not to:

• Solicit or arrange reciprocal endorsements (endorsement exchanges or “quid pro quo” endorsements).
• Create fake accounts to generate endorsements for yourself or others.
• Offer compensation, favors, or incentives in exchange for endorsements.
• Write endorsements for individuals you have not worked with professionally.
• Harass or pressure colleagues to provide endorsements.

5.2 Endorsement Review

WIM reserves the right to review, remove, or flag endorsements that appear to violate endorsement integrity standards. Repeated violations may result in the loss of endorsement privileges or account suspension.

6. Profile Visibility and Data Use

6.1 Employer Visibility

By creating a professional account, you understand and agree that your profile information (including your WIM Score, Career DNA summary, credentials, project history, and portfolio) may be visible to employer users of the Platform in accordance with your subscription tier and privacy settings. You may control certain visibility settings through your account dashboard.

6.2 Data Use for Matching

You consent to WIM using your profile data, Career DNA, WIM Score, and other account information for the purpose of generating job alignments, employer matches, career recommendations, salary benchmarks, and other career intelligence features. This use is essential to the core functionality of the Platform.

6.3 Aggregated and Anonymized Data

WIM may use aggregated and anonymized data derived from your profile for industry research, market analysis, salary benchmarking, and Platform improvement purposes. Aggregated data will not identify you individually.

7. Professional Conduct

In addition to the prohibited conduct described in the Terms of Service, you agree to:

• Communicate professionally and respectfully with employers and other users on the Platform.
• Respond to employer communications in a timely manner when you are actively seeking opportunities.
• Not use the Platform to solicit business, advertise services, or recruit other professionals (unless you also have an authorized employer account).
• Not misrepresent your availability, compensation expectations, or interest in opportunities.
• Protect the confidentiality of any proprietary employer information shared with you through the Platform during the hiring process.

8. Subscription and Services

8.1 Free Tier

Professional accounts include a free tier with limited access to Platform features as described on the pricing page. The free tier is provided at WIM’s discretion and may be modified or discontinued at any time.

8.2 Paid Subscriptions

Additional features are available through paid subscription tiers (Starter and Professional). Subscription terms, including pricing, billing, cancellation, and refund policies, are described in the Terms of Service.

8.3 No Employment Guarantee

WIM does not guarantee that use of the Platform, including paid subscription features, will result in employment offers, interviews, or any specific career outcome. Subscription fees are for access to Platform features and career intelligence tools, not for placement services or employment guarantees.

9. Term and Termination

9.1 Term

This Agreement is effective as of the date you create a professional account and continues until terminated.

9.2 Termination

You may terminate this Agreement at any time by deleting your account through your account settings. WIM may terminate your account as described in the Terms of Service.

9.3 Effect of Termination

Upon termination, your profile will be removed from employer search results and matching. WIM may retain your data as necessary to comply with legal obligations, resolve disputes, enforce agreements, and maintain the integrity of placement records and Attribution Windows.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, WIM CAREERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES RELATED TO EMPLOYMENT DECISIONS, CAREER OUTCOMES, SALARY EXPECTATIONS, OR RELIANCE ON WIM SCORE, AI CAREER COACH, OR ANY CAREER INTELLIGENCE FEATURES.

IN NO EVENT SHALL WIM’S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO WIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Disputes shall be resolved as described in the Terms of Service, including the binding arbitration and class action waiver provisions.
